RELATECH: CLOSURE OF THE THIRD AND LAST EXERCISE PERIOD OF THE "WARRANT RELATECH 2019 - 2022"

Exercised n. 3,458,772 Warrants and subscribed no. 5,188,158 newly issued Ordinary Shares for a total of Euro 4,928,750.10

Milan, 20th May 2022

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company and innovative SME listed on the Euronext Growth Milan market (Ticker: RLT), announces that, the third and final Exercise period of the "Warrants Relatech 2019-2022", ISIN code IT0005373292, included between 9 May 2022 and 20 May 2022 inclusive, has ended. During this period, no. 3,458,772 Warrants and consequently subscribed at the price of Euro 0.95 per share (in the ratio of 3 ordinary shares for every 2 Warrants exercised) no. 5,188,158 newly issued Relatech ordinary shares, with no indication of par value, with regular entitlement and the same characteristics as the Relatech ordinary shares in circulation at the issue date (the "Conversion Shares"), for a total value equal to Euro 4,928,750.10.

Pursuant to the "Warrants Relatech S.P.A. 2019-2022 ", the issue and making available, through Monte Titoli S.p.A., of the Conversion Shares subscribed by the Warrant holders during the exercise period will take place on the settlement day following the end of the last day of the exercise period itself.

As a consequence of the above, as of the current date, once the new shares deriving from the exercise of no. 3,458,772 Warrants, the Company holds no. 42,937,638 ordinary shares.

It is also specified that the unexercised Warrants, in the period between 9 May and 20 May 2022 (third and last window relating to the "Warrant Relatech 2019 - 2022"), will lose all rights, becoming invalid for all purposes.

The Company will publish the notice of change in the share capital following the filing of the execution of the capital increase at the Milan Company Register within the terms of the law.
