RELATECH: FROM 25 JANUARY NEW ISIN (IT0005433740) OF SHARE FOLLOWING THE SPLIT STOCK
o Notice of splitting of the total number of shares by splitting them from n. 10,922,507 to no. 32,767,521 in execution of the resolution of 30 December 2020
Milan, 20th January 2021
Relatech S.p.A., Digital Enabler Solution Knowledge (D.E.S.K.) Company and innovative SME listed on AIM Italia market (Ticker: RLT), announces that, in execution of the resolution of the extraordinary shareholders' meeting of 30 December 2020 filed with the Companies Register of Milan, Monza, Brianza and Lodi on 11th January 2021 and registered there on 19th January 2021, the splitting operations of the number 10,922.507 total ordinary shares of Relatech S.p.A. will start on 25 th January 2021.
The split will take place through the assignment of 3 new ordinary shares (new ISIN code IT0005433740 - regular entitlement - coupon no. 1 and following) for each old ordinary share held (old ISIN code IT0005371874 - regular entitlement - coupon no. 1 and following), which will be simultaneously withdrawn and canceled. It should be noted that on 22nd January 2021 will be the last day of trading of the pre-stock split and that from the 25thJanuary 2021 the stock will be traded post-split.
The share capital remains unchanged at a total of Euro 109,225.07 and will be represented by no. 32,767,521 newly issued ordinary shares (with no par value).
Since these are dematerialized shares, the assignment of the new Relatech S.p.A. shares it will not require any fulfillment by the shareholders and will be carried out through the intermediaries adhering to the centralized management system at Monte Titoli S.p.A., in accordance with current legislation. No expenses will be charged to the shareholders.
Furthermore, the Company announces that the regulation of the "WARRANT RELATECH 2019 - 2022" is available on the website, updated in execution of the resolution on 30 December 2020. In this regard, the Company reminds that (i) the conversion shares may be
subscribed on the basis of no. 3 conversion shares for every n. 2 Warrants exercised; (ii) the exercise price of the warrants relating to the Second Exercise Period (i.e., the period between 10 May 2021 and 21 May 2021 included) will be equal to Euro 0.86 and the exercise price relating to the Third Exercise Period (i.e., the period between 9 May 2022 and 20 May 2022 included) will be equal to Euro 0.95.
