RELATECH: CLOSURE OF THE SECOND EXERCISE PERIOD OF THE "WARRANT RELATECH 2019 - 2022"

Exercised no. 3,321,306 Warrants and signed no. 4,981,959 New issued Ordinary Shares for a total of Euro 4,284,484.74

Milan, 21st May 2021

Relatech S.p.A., Digital Enabler Solution Knowledge (DESK) Company and innovative SME listed on AIM Italia market (Ticker: RLT), announces that, announces that the Second Exercise Period of the "Relatech Warrants 2019-2022", ISIN code IT0005373292, has ended, between 10 May 2021 and 21 May inclusive. During this period, no. 3,321,306 Warrants and consequently subscribed at the price of Euro 0.86 per share (in the ratio of 3 ordinary shares for every 2 Warrants exercised) no. 4,981,959 New issued Relatech ordinary shares, with no indication of par value, with regular entitlement and the same characteristics as the Relatech ordinary shares in circulation on the issue date (the "Conversion Shares"), for a total value equal to Euro 4,284,484.74.

Pursuant to the "Warrants Relatech S.P.A. 2019-2022 ", the issue and making available, through Monte Titoli S.p.A., of the Conversion Shares subscribed by the Warrant holders during the exercise period will take place on the settlement day following the end of the last day of the exercise period itself.

As a result of the above, as of the current date, there are no. 3,072,180 Warrants outstanding and, once the New shares resulting from the exercise of no. 3,321,306 Warrants are issued, no. 37,749,480 ordinary shares.
