RELATECH: APPROVED THE MERGER BY INCORPORATION OF RELATECH CONSULTING S.R.L. and XONNE S.R.L. IN RELATECH S.P.A.

Milan, 1 st August 2022

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company and innovative SME listed on the Euronext Growth Milan market (Ticker: RLT), following what was communicated on 30 June 2022 and 1 July 2022, informs that today the extraordinary meetings of Relatech Consulting S.r.l. and Xonne S.r.l. ("Incorporated"), both 100% controlled by Relatech S.p.A. ("Relatech" or "Incorporating"), both met in a notarial session, approved the merger by incorporation of the Merged Companies into the Acquiring Company (the "Merger"). The decision regarding the Merger for Relatech S.p.A., as required by the Articles of Association, was taken by the Administrative Body, which met in a notarial session again today, as the circumstance provided for pursuant to art. 2505, paragraph 3, of the Civil Code.

It is recalled that, being Relatech Consulting S.r.l. and Xonne S.r.l. wholly owned by Relatech and therefore the conditions for the merger c.d. "Simplified" pursuant to art. 2505 of the Italian Civil Code, on the effective date of the Merger the shares representing the share capital of the Merged Companies will be canceled without exchange. Consequently, Relatech will not make any changes in its share capital.

The minutes of the shareholders' meetings of the Merged Companies and of the Board of Directors of the Merging Company, drawn up in the form of a public document, will be made available to the public at the Company's registered office and on the Relatech website www.relatech.com, Investor Relations/documents section companies, within the deadlines set by the laws and regulations in force.
