Relatech: notice of substantial change of significant shareholders

Milan, 12th of November 2024

Relatech S.p.A., Digital Enabler Solution Know-how (D.E.S.K.) Company ("Relatech" or the "Company") listed on the Euronext Growth Milan market (Ticker: RLT), hereby announces, pursuant to Article 17 of the Euronext Growth Milan Issuers' Regulations, to have received today's communication regarding the increase of the significant shareholding of Gemini BidCo S.r.l. ("Gemini BidCo"), a special purpose vehicle indirectly controlled by Bregal Unternehmerkapital IV SCSp, Bregal Unternehmerkapital IV-A SCSp, Bregal Unternehmerkapital IV-B SCSp and Bregal Unternehmerkapital IV Funding Feeder SCSp, in the share capital of Relatech.

More in detail, the total voting rights referred to Gemini BidCo have exceeded the relevance threshold of 90% of the voting rights in Relatech, passing from 67.63% to 96.25% of the voting rights in Relatech.

On the basis of the communication received from Gemini BidCo and the information available to the Company to date, the Company announces that, based on the latest results in its possession, Relatech's current shareholding structure is as follows:
