RELATECH: ACQUISITION FINALIZED OF THE ENTIRE SHARE CAPITAL OF THE SUBSIDIARY GRUPPO SIGLA, A COMPANY ACTIVE IN THE DESIGN AND DEVELOPMENT OF DIGITAL SOLUTIONS IN THE FIELD OF INDUSTRIAL AUTOMATION, DATA ANALYSIS AND CYBERSECURITY

Milan, 6 th of July 2023

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company listed on the Euronext Growth Milan market (Ticker: RLT), following up on its press release of 16 June 2023, announces that it has today finalized the acquisition of the remaining 40% of the share capital of Gruppo SIGLA S.r.l. ('Gruppo SIGLA'), specialized in the design and development of ICT and automation solutions and services for major domestic and foreign customers, as well as for public bodies.

The transaction follows the purchase of 60% of the share capital already carried out in June 2021 (for further information, please refer to the press releases of 12 May 2021 and 29 June 2021) and was concluded for a total consideration, entirely in cash, ultimately agreed at Euro 711,572.76, of which (i) Euro 531. 572.76 paid today in the context of the closing, (ii) Euro 100,000 to be paid on a deferred basis within 60 business days following the approval by the shareholders' meeting of the financial statements of GRUPPO SIGLA as of 31 December 2023, and (iii) Euro 80,000 to be paid on a deferred basis thereafter and subject to the fulfilment, by 31 December 2025, of a condition precedent.

Finally, it should be noted that in favour of two of the sellers, a possible cash earn-out is envisaged in the total amount of up to a maximum of Euro 430,000, linked to SIGLA Group performance targets with reference to financial year 2023.
