RELATECH: MINUTES OF MEETINGS RELATING TO THE MERGER BY INCORPORATION OF RELATECH CONSULTING S.R.L. AND XONNE S.R.L. IN RELATECH S.P.A

Milan, 4 th August 2022

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company and innovative SME listed on the Euronext Growth Milan market (Ticker: RLT), following what was communicated on 30 June 2022, 1 July 2022 and 1 August 2022, informs that on 3 August 2022, the minutes of the meeting of the Board of Directors of 1 August 2022 were registered with the competent Register of Companies approved, in a notary session, the merger by incorporation into Relatech S.p.A. ("Relatech" or "Incorporating") of its wholly owned subsidiaries, Relatech Consulting S.r.l. and Xonne S.r.l. (the "Incorporated" and the "Merger").

On the same date, the minutes of the extraordinary meetings of the Merged Companies, which met on 1 August and drawn up in the form of a public deed, relating to the Merger, pursuant to art. 2502 of the cod. civ..

The minutes of the shareholders' meetings of the Merged Companies and of the Board of Directors of the Merging Company, drawn up in the form of a public document, are available to the public at the Company's registered office and on the Relatech website www.relatech.com, Investor Relations/corporate documents section.
