RELATECH: ACQUISITION CLOSING OF 80% EQUITY STAKE IN EXEO S.P.A., HOLDING OF THE BTO GROUP, LEADER PLAYER IN MANAGEMENT ADVISORY, ALREADY OPERATING IN ITALY AND ABROAD IN THE INSURANCE, BANKING, UTILITIES, FASHION AND AUTOMOTIVE INDUSTRIES

Thanks to this acquisition Relatech launches the Digital Renaissance strategy and moves on the market with a new and differentiating offering, covering also the world of management advisory

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company an innovative SME listed on the Euronext Growth Milan market (Ticker: RLT) ("Relatech" or the "Company"), following up on its announcement of October 28th, 2022 - to which it refers in full - announces that it has today finalized the acquisition of 80 percent equity stake in Exeo S.p.A., the holding company of the BTO group ("BTO").

As of December 31st, 2021, BTO (an international group with branches in Italy, Germany, Austria, and Luxembourg) reported consolidated sales of approximately Euro 20 million with adjusted EBITDA for non-recurring extraordinary costs of approximately Euro 3,5 million, a profit of approximately Euro 1,02 million and a net financial position of approximately Euro 1,2 million.

Thanks to the acquisition of BTO, Relatech comes to the market with a new and differentiating offering summarized as Digital Renaissance, i.e., the new value proposition born from the union of the expertise of both companies. The new group will be able to integrate also change and management advisory projects with the already established digital transformation proposition of Relatech Group, always characterized by that.

It is an evolution that makes the Group even stronger, at the same time agile and dynamic, thanks also to the enrichment of the Human Capital of more than 300 professionals with an average age of 29, with transversal skills on innovation and digital. Finally, this transaction will also enable the acceleration of Relatech internationalization process, which has already

begun with the acquisition of Venticento and its local offices in New York and Hong Kong, and now with BTO new European branches in Germany, Austria and Luxembourg will be added.
