RELATECH: ANTICIPATED CLOSING OF THE ACQUISITION OF 100% OF THE SHARE CAPITAL OF THE SUBSIDIARY XONNE, A COMPANY SPECIALISED IN AUGMENTED AND VIRTUAL REALITY TECHNOLOGIES

• Payment of 46.5% of the consideration in Relatech Treasury Shares
• Valorization of Relatech shares Euro 4.1 each

Relatech S.p.A., Digital Enabler Solution Knowledge (DESK) Company and innovative SME listed on Euronext Growth Milan (Ticker: RLT), announces that today it has acquired the remaining 46.5% of the share capital of Xonne S.r.l. ("Xonne"), a company specialised in virtual and augmented reality solutions and mobile technologies, that became part of the Relatech Group in 2020.

The transaction follows the purchase of 53.5% of the share capital on July 2020 and was concluded - following the agreements between the shareholders - for a total amount of approximately Euro 0.49 million, paid through the transfer of a total of 120,000 Relatech treasury shares, conventionally valued at Euro 4.1 each.

For the aforesaid acquisition, the sellers Alessio Garbi, Massimo Zilioli and Giovanni Musolino have undertaken a specific lock-up commitment in relation to the Relatech shares purchased, until 31 December 2022.

The operation, which was expected to be completed in 2023, has been brought forward by two years following in-depth evaluations by the management of Relatech and Xonne, who consider this area strategic and wanted to accelerate the completion of the acquisition to benefit fully from cost synergies and have greater flexibility in terms of investment plan. Xonne will thus be able to fully contribute to the development of solutions with a particular acceleration on Metaverse solutions based on the sharing of an innovative augmented reality that allows its users to connect to the network with three-dimensional devices and interact with each other through virtual avatars.

This is the background to Xonne's activities, with which we have quickly achieved a perfect match in terms of markets, technologies, and resources, which has prompted us to accelerate our investment in all our capital.

The early closing is the testimony of a synergy between the parties in contributing to the ongoing evolution of the digital and cloud-based platform RePlatform, significantly strengthening the ReYou and Customer eXperience modules on new mobile and virtual contexts.

Following the sale of the shares, Relatech directly holds 909,186 treasury shares, equal to 2.4% of the share capital.
