RELATECH: PROVISIONAL RESULTS REGARDING THE ORDINARY SHAREHOLDERS' EXERCISE OF THE WITHDRAWAL RIGHT

Milan, 1 st of February 2022

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company and innovative SME listed on the Euronext Growth Milan market (Ticker: RLT), announces that on January 27th, 2023, the period for exercising the withdrawal right, connected to the approval of the modifications to the By-Laws regarding the introduction of the enhanced voting by the extraordinary General Meeting held on December 21st, 2022, has ended.

To the Company's knowledge as of today, based on the communications received by the Company as of February 1, 2023, subject to verification of the correctness and completeness of the documentation received and still being received, the right of withdrawal has been validly exercised for a total of 411,048 shares representing 0.95% of the share capital of Relatech and for a total value, calculated based on the liquidation value determined at Euros 2.19 for each share (determined in accordance with Article 2437-ter of the Civil Code), equal to Euros 900,195.12.

The above-mentioned total value, as of February 1, 2023, is lower than the amount of 1.4 million euros set as the suspensive condition (the "Condition") for the effectiveness of the above-mentioned resolution, that, therefore, should the above provisional results be confirmed, it would be considered to be fulfilled.

The final results of the exercised withdrawal right will be announced to the market by the Company promptly in the coming days in a press release to be published on the Company's website www.relatech.com. Further information will be disclosed in a press release presumably dated February 10, 2023. Such press release will also contain confirmation about the fulfillment of the Condition as well as the terms and procedures for joining the option offer and further information related to it.
