F1: On August 5, 2020, Robert A. Berman (the "Reporting Person") entered into a Stock Purchase Agreement (the "Agreement") with James K. McCarthy (the "Seller") to purchase 2,725,836 shares of common stock of Rekor Systems Inc. (the "Common Stock") at a price of approximately $2.57 per share. The closing of the transaction is conditioned upon the Reporting Person's payment of: (i) $200,000 which amount has been received as of the date of the Agreement; and (ii) $6,800,000 no later than forty-five days from the date of the Agreement (the "Purchase Price"). Upon payment of the Purchase Price, the Seller shall transfer ownership of the Common Stock to the Reporting Person.
