ITEM 1. Description of Securities to be Registered.

The title of the securities of Reinsurance Group of America, Incorporated (the “Company”) to be registered hereunder is 5.75% Fixed-To-Floating Rate Subordinated Debentures due 2056 (the “Debentures”). The Debentures have been issued pursuant to the Company’s automatic shelf registration statement on Form S-3, filed with the Securities and Exchange Commission on May 20, 2014 (File No. 333-196114) (the “Registration Statement”). The description of the Debentures, as set forth under the caption “Description of Debt Securities of RGA” in the prospectus dated May 20, 2014, constituting a part of the Registration Statement, as supplemented by the description set forth under the caption “Description of the Debentures” in the prospectus supplement dated June 1, 2016, filed with the Securities and Exchange Commission on June 3, 2016 (File No. 333-196114), is incorporated herein by reference.
