Announcement for the resolutions of the Second Meeting of the Third Supervisory Committee
The second Meeting of the Third Supervisory Committee of Tianjin Capital Environmental Protection Company Limited (hereinafter referred to as the “Company”) was held on 11th February 2004 at 9:00 p.m. at the Conference Room, Room 2201 to 2203, 22nd Floor, World Wide House, 19 Des Voeux Road Central, Hong Kong. There should be 6 supervisors present and 6 supervisors were present and the proceeding for convening this Meeting has complied with the relevant provisions of Company Law and the Articles of Association of the Company. The meeting was chaired by Mr. Zhang Wenhui, the Chairman of the Supervisory Committee. The meeting considered and passed the following resolutions:

agreed with the working report of the Company’s Supervisory Committee for 2003;

agreed with the annual report and the report summary of the Company for 2003;

agreed with the financial and accounting statements of the Company for 2003;

agreed with the Final Financial Report 2003 and the Financial Budget 2004 of the Company;

agreed with the Profit Appropriation Plan of the Company for 2003;

agreed that the Board of Directors and management of the Company seriously implemented the various resolutions of the Shareholders’ general meetings and the Board in 2003, and their operations were found to be in compliance with the relevant requirements in the Company Law and the Articles of Association of the Company. During the course of performing their duties, none of the Directors and the senior officers of the Company has been found to be in violation of the State laws and regulations, the Company’s Articles of Association and committed any act that is detrimental to the interests of the Company; and

agreed that the PricewaterhouseCoopers Zhong Tian Certified Public Accountants Co., Ltd. and PricewaterhouseCoopers in Hong Kong issued their respective auditors’ report for 2003 with unqualified opinion on financial statements which truly reflected the actual financial situation and operating results of the Company.
