ANNOUNCEMENT OF THE RESOLUTIONS OF THE SUPERVISORY COMMITTEE
The Company and all members of the Supervisory Committee warrant that this announcement is true, accurate and complete, and shall be responsible for any false or misleading representation or any material omission which may occur in this announcement.
The 22nd Meeting of the Second Supervisory Committee of Tianjin Capital Environmental Protection Company Limited (hereinafter referred to as the “Company”) was held on 23rd July 2003 at 3:00p.m. at the Conference Room, Tianjin Capital Environmental Protection Company Limited, 45 Guizhou Road, Heping District, Tianjin, the People’s Republic of China. The meeting was chaired by Ms. Yu Ruihun, the Chairman of the Supervisory Committee. There should be 6 supervisors present and 6 supervisors were present (Mr. Wang Hui, the supervisor, was absent due to sick leave and authorized Ms. Yu Ruihua, the supervisor, to vote in his stead). The proceeding for convening this meeting has complied with the relevant provisions of Company Law of the People’s Republic of China and the Articles of Association of the Company. This meeting considered and approved the following resolutions:

The Interim Report 2003 and the summary of the report to be announced in the PRC and overseas were considered and approved; and

The proposal in respect of establishing Tianjin Capital New Materials Company Limited ( ) was considered and approved.
As this investment would constitute a connected transaction, it was considered by the Supervisory Committee that this connected transaction was conducted in accordance with market practices and served the intentions of all related parties. The Company has complied with the relevant laws and regulations throughout the course of the transaction and has made sufficient disclosure of information in accordance with the relevant provisions. This connected transaction has put emphasis on and protected the interests of shareholders as a whole, and was fair and reasonable to all shareholders.
The Supervisory Committee considers that this investment expands the scope of operation of the Company in urban infrastructure. It is a new attempt for the Company’s business development and may bring a new source of profit for the Company.
