ANNOUNCEMENT OF THE RESOLUTIONS OF THE SUPERVISORY COMMITTEE

The Company and all members of the Supervisory Committee warrant that this announcement is true, accurate and complete, and shall be responsible for any false or misleading representation or any material omission which may occur in this announcement.

The 23rd Meeting of the Second Supervisory Committee of Tianjin Capital Environmental Protection Company Limited (hereinafter referred to as the “Company”) was held on 23rd October 2003 at the Conference Room of the Company, 45 Guizhou Road, Heping District, Tianjin, the People’s Republic of China (hereinafter referred to as the “PRC”). There should be 6 supervisors present and 6 supervisors were present. The proceeding for convening this meeting has complied with the relevant provisions of the Company Law of the PRC and the Articles of Association of the Company. This meeting considered and approved the following resolutions:

1. The third quarterly report 2003 to be announced in the PRC and overseas were considered and approved;

2. The proposal in respect of the application of Mr. Wang Zhanying for the resignation as a supervisor of the Company was considered and approved;

3. The proposal in respect of the nomination of four nominees as supervisors of the third supervisory committee (one of whom is Mr. Zhang Wenhui) was considered and approved;

Mr. Zhang Wenhui, aged 48, is an executive director of the Company, the period of his directorship will expire on 19th December 2003. Mr. Zhang has been the vice chairman of labour department of Tianjin Urban Bureau. Mr. Zhang graduated from the Business School of Tianjin University in 1999 with a master degree in engineering. Mr. Zhang has held various senior positions in the Tianjin Sewage Management Division since 1980, ranging from deputy head of Tianjin Sewage Management Division — No. 4 Branch to deputy head of the Tianjin Sewage Management Division to head of Tianjin Sewage Management Division. Mr. Zhang owned more than 20 years experience in business of urban services. Mr. Zhang is a director of the Company from 20th December 2000 to 19th December 2003.

Mr. Wen Qiuli, aged 36, is the human resources manager of the Company. He graduated from the Dalian Fisheries University with a general bachelor degree in 1988. He was awarded a Master in Business Administration by Nankai University in June 2002. Mr. Wen is a senior engineer. Mr. Wen had six years of experiences in Tianjin Offshore Fisheries Company and Tianjin Ocean Fisheries Company serving as the head of

production operation in the overseas and in human resources department, and five years of experiences in Tianjin Fisheries Bureau as the head of human resources department and personnel division. He served at Tianjin Ocean Fisheries Company, organization and personnel department of Tianjin Maritime Production Bureau, Tianjin Maritime Production Group Co., Ltd. and was responsible for human resources development and administration. He has acquired solid theoretical base and sufficient practical experiences from these positions. Mr. Wen joined the Company in September 2002 as the human resources manager.

Mr. Nie Youzhuang, aged 34, is an engineer. He is the operations manager of the Company. Mr. Nie graduated from Tianjin Science and Industrial University with a bachelor’s degree in automation in 1992. He served at mechanical and electrical department, and operation department under the planning and construction division of Tianjin Dongjiao Sewage Treatment Plant since July 1992 and was responsible for management operation. He served at the development and construction branch of Tianjin Sewage Company in March 2000, and participated in the sewage treatment projects for Haihe River. Mr. Nie is well-experienced in the operation and management of sewage treatment plant. He was awarded as an Outstanding Technological Worker several times. He joined the Company in January 2001.

Ms. Hou Xiaojin, aged 38, is a budget engineer and project manager. She is the project planning and construction manager of Tianjin Beicang Sewage Treatment Plant. She received a bachelor’s degree in environmental engineering from Tianjin University in 1987. She graduated from the post-graduate class of Tong Ji University in 2001. She served as the deputy director and the secretary of party sub-committee of the Tianjin Sewage No. 5 Institute, deputy director and the secretary of party sub-committee of Tianjin Sewage Design Institute, deputy manager and the secretary of party subcommittee of the Development and Construction Branch under the Sewage Management Division, as well as the deputy manager, deputy secretary of party sub-committee and chairman of the labour union of Sewage Construction Company. Ms. Hou is well experienced in technologies for project construction and project management. She was awarded as an Outstanding Young Intellectual and a Proactive Worker several times. She joined the Company in April 2002.

The items 2 and 3 will be presented to the 2003 Extraordinary General Meeting of the Company for consideration and approval.
