Announcement on the Change of the Sponsor and the Sponsor Representative for the Listing of the A Share Convertible Bonds of the Company

This announcement is made pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

Tianjin Capital Environmental Protection Company Limited (the “ Company ”) and all members of the board (the “ Board ”) of directors (the “ Directors ”) of the Company hereby warrant the truth, accuracy and completeness of the contents in this announcement, and accept joint responsibilities for any false information, misleading statement or material omission in this announcement.

Upon receiving the approval of the Reply Concerning Approval of the Establishment of CITIC Construction Securities Company Limited (Zheng Jian Ji Gou Zi [2005] 112) from China Securities Regulatory Commission, CITIC Construction Securities Company Limited (“ CITIC Construction ”) was established on 2nd November 2005. CITIC Construction acquired the securities assets, business and staff of Huaxia Securities Co., Ltd. (“ Huaxia Securities ”). The business department of Huaxia Securities has closed down and ten representatives of Huaxia Securities have become representatives of CITIC Construction. Accordingly, the Company changed the sponsor (the “ Sponsor ”) to take charge of the sponsorship of the A Share convertible bonds of the Company (the “A Share Convertible Bonds ”) to CITIC construction.

Huaxia Securities appointed Mr. Song Yongyi and Mr. Jia Xiaoliang as the representatives of the Sponsor (the “ Sponsor Representatives ”). Due to Huaxia Securities’ reorganisation, CITIC Construction hereby changed one of the Sponsor Representatives and appointed Mr. Zhan Chaojun to replace Mr. Jia Xiaoliang as the Sponsor Representative in accordance with the Interim Measures Regulating Sponsorship System in Public Listing of Securities.

Mr. Song Yongyi and Mr. Zhan Zhaojun shall jointly fulfill the duties as the Sponsor Representatives from the date of this announcement until the supervision period for the listing of the A Share Convertible Bonds expires, i.e. 31st December 2005. The former Sponsor Representative, Mr. Jia Xiaoliang, shall undertake the corresponding obligations during his term of office.

As at the date of this announcement, the Board comprises executive Directors: Ms. Ma Baiyu, Mr. An Pindong, Mr. Gu Qifeng, Mr. Wang Zhanying, Mr. Tan Zhaofu and Ms. Fu Yana, and independent non-executive Directors: Mr. Wang Xiangfei, Mr. Gao Zongze and Mr. Ko Poming.
