The Issuer will not be sending proxy-related materials to registered holders or beneficial owners using notice-and-access. The Issuer is sending the proxy-related materials to NOBOs through a proximate intermediary and does not intend to pay for a proximate intermediary to send the proxy-related materials to OBOs.

The Issuer will be relying on Section 2.20 of National Instrument ("NI") 54-101, but will arrange to have the proxy-related materials for the meeting sent in compliance with the applicable timing requirements set out in Section 2.12 and will carry out all of the remaining requirements set out in NI 54-101.
