COMPLETION OF CAPITAL RAISING

Redstone Resources Limited (ASX Code: RDS) is pleased to advise the successful completion of its capital raising with MBAC Opportunities and Financing Inc as part of a Sale and Joint Venture Option over the Company’s Brazil Potash & Phosphate Projects, as previously announced to the market on 18 June 2009.

The Company has raised US$250,000 (before costs) for general working capital through the placement of 2,000,000 ordinary fully paid shares together with 1,000,000 free attaching options. The issue price per share of A$0.155 represents a 32% premium to the previous 30 day volume weighted average price of the Company’s shares traded of A$0.117 per share.

Notice under Section 708A(5)(e)(i) Corporations Act

Redstone Resources Ltd has today issued 2,000,000 fully paid ordinary shares and 1,000,000 unquoted options to MBAC Financing and Opportunities Inc. to raise US$250,000.

Accordingly the Company gives notice under section 708A(5)(e)(i) of the Corporations Act 2001 (Cth) ( Act ) that:

1. the abovementioned shares were issued without disclosure to investors under Part 6D.2 of the Act;

2. as at the date of this notice the Company has complied with:

   • (i) the provisions of Chapter 2M of the Act as they apply to the Company; and

   • (ii) section 674 of the Act; and

3. as at the date of this notice there is no information to be disclosed which is “excluded information” as defined in subsection 708A(7) of the Act that is reasonable for investors and their professional advisers to find in a disclosure document.
