SECONDARY TRADING NOTICE

This notice is given by Red Mountain Mining Limited ( RMX or the, Company ) for the issue of 76,470,588 fully paid ordinary shares ( New Shares ) via a placement to sophisticated and professional investors.

The Company issued New Shares without disclosure to a consultant under section 708A(5) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Secondary Trading Notice Pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Act)

The Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A of the Act. By giving this notice, a sale of the New Shares noted above will fall within the exemption in section 708A(5) of the Act.

Pursuant to sections 708A(5)(e) and 708A(6) of the Act, the Issuer gives notice that:

a) the New Shares were issued without disclosure to a consultant under Part 6D.2 of the Act;

• b) as at the date of this notice, the Issuer has complied with:

  • I. the provisions of Chapter 2M of the Act, as they apply to the Issuer; and

  • II. section 674 of the Act; and

c) as at the date of this notice, other than as set out below, there is no information that is ‘excluded information’ within the meanings of section 708A(7) and 708A(8) of the Act excepting for:

• An upgraded sampling and trenching announcement at Armidale Antimony-Gold Project.
