SECONDARY TRADING NOTICE

This notice is given by Red Mountain Mining Limited ( RMX or the, Company ) that it has issued 400,000,000 new fully paid ordinary shares in the Company ( New Shares ) to sophisticated or professional investors to raise gross proceeds of $400,000.

The Company has also issued 50,000,000 New Shares to services providers for services rendered under its placement capacity.

The Company has further issued 100,000,000 RMXO options ( New Options ) to the lead manager of the placement as announced on 5 August 2024.

The Company issued the New Shares and New Options without disclosure to investors under section 708A(5) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Secondary Trading Notice Pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Act)

The Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A of the Act. By giving this notice, a sale of the New Shares and New Options noted above will fall within the exemption in section 708A(5) of the Act.

Pursuant to sections 708A(5)(e) and 708A(6) of the Act, the Issuer gives notice that:

• a) the New Shares and New Options were issued without disclosure to investors under Part 6D.2 of the Act;

• b) as at the date of this notice, the Issuer has complied with:

  • I. the provisions of Chapter 2M of the Act, as they apply to the Issuer; and

  • II. section 674 of the Act; and

• c) as at the date of this notice, other than as set out below, there is no information that is ‘excluded information’ within the meanings of section 708A(7) and 708A(8) of the Act.
