ENHANCED RIGHTS ISSUE TERMS

Further to the announcement on 23 December 2014, Red Mountain Mining Ltd (“Red Mountain”, “the Company”) advises that the terms of the Rights Issue have been enhanced, with a new class of 0.6c Option to be issued.

The pro-rata, non-renounceable Rights Issue will be undertaken on the basis of one (1) new share for every four (4) shares held by shareholders on the record date, at an issue price of A$0.004 (0.4 cent) per new share and for every 2 shares issued under the Entitlements Issue, the Company will grant one (1) RMXO Option, exercisable at $0.012 each on or before 31 March 2016 and, under the new terms, one (1) 0.6c Option, exercisable at $0.006 each on or before 30 June 2016 ( Rights Issue ).

The transaction specific prospectus was lodged with ASIC today and follows this announcement.

The Record Date under the ASX approved timetable for the Rights Issue is 13 January 2015. To be eligible to participate in the Rights Issue shares must be purchased before the “Ex” date on 9 January 2015. The prospectus will be despatched to Shareholders on 16 January 2014.

About Red Mountain Mining Limited and the Batangas Gold Project

Red Mountain Mining (ASX: RMX) is primarily a gold explorer/developer and project acquisition company which listed on the ASX in September 2011. The Company’s strategy is to unlock the potential of ‘underdeveloped’ gold and polymetallic projects in the greater Asian region by introducing Australian exploration and mining methods and improving efficiencies to gain significant exploration and production upside.

The Company is continuing exploration with the objectives of upgrading Mineral Resources at Batangas.

The Company is completing a Definitive Feasibility Study (DFS) on the project, with initial results confirming low capital and operating costs and recovery of over 100,000 ounces of gold during the initial 5 years of production (ASX release 20 November 2014).

Final mine development permitting submissions have been lodged with the Philippines Government (ASX release 3 April 2014) and are proceeding towards approval.

Other gold opportunities will be reviewed on a continuous basis.
