ANNUAL GENERAL SHAREHOLDERS' MEETING
At the Annual General Shareholders' Meeting of Recticel, which took place this morning, all proposed resolutions on the agenda(1) of the Ordinary General Shareholders' Meeting were approved.
Recticel will distribute a gross dividend of EUR 0.24 per share, which will be paid on 03 June 2019.
The Meeting also:
- approved the 2018 financial statements and the appropriation of the result.
- discharged the directors and auditors.
- approved the renewal of the director's mandate, for a new term of three years expiring after the Ordinary General Meeting of 2022, of respectively:
- OLIVIER CHAPELLE BVBA, represented by its permanent representative Mr. Olivier CHAPELLE, as managing director
- IMRADA BVBA, represented by its permanent representative Ms. Ingrid MERCKX, as non-executive and independent director
- ENTREPRISES ET CHEMINS DE FER EN CHINE SA, represented by its permanent representative Mr. Frédéric VAN GANSBERGHE, as non-executive director.
- accepted the resignation of Mr. Kurt PIERLOOT as non-executive and independent director with effect as of 1 January 2019 and confirmed the appointment of CARPE VALOREM BVBA, represented by its permanent representative Mr. Kurt PIERLOOT, as non-executive and independent director, for a term starting on 1 January 2019 and expiring after the Ordinary General Meeting of 2021.
- In replacement of Ms. Danielle Sioen, appointed MOROXCO BVBA, represented by its permanent representative Ms. Elisa VLERICK, as non-executive and independent director, for a term of three years expiring after the Ordinary General Meeting of 2022.
- renewed, upon proposal of the Audit Committee, the mandate of the civil company under the form of a cooperative limited liability company "DELOITTE Bedrijfsrevisoren", as statutory auditor for a period of three years expiring after the Ordinary General Meeting of 2022, in order to do the audit of the financial years closed on 31 December 2019, 2020 and 2021.
- approved the remuneration report of 2018 and 2019 and fixed the remuneration fees for 2019.
- authorized the Board of Directors to issue a new edition of maximum 600,000 stock options under the Stock Option Plan of the Recticel Group in favour of the senior managers of the Recticel Group.
