Real Matters Inc. Clarification to Management Information Circular
Real Matters' (the "Company") management information circular (the "Circular") for the annual and special meeting to be held on February 5, 2026 (the "Meeting"), includes a proposed amendment to the Company's amended and restated 2017 long-term equity incentive plan.
The Company would like to clarify that all of its outstanding Restricted Share Units ("RSUs"), including those granted to the Chief Executive Officer, vest solely on a time-based schedule.
- Summary Compensation Table (page 71 of the Circular): Subsequent to fiscal 2025 year-end, each named executive officer, including the Chief Executive Officer, was granted an RSU award based on the achievement of performance conditions for fiscal 2025. This most recent RSU award, which was granted on November 28, 2025, vests entirely on the third anniversary of the date of grant without any further performance conditions.
- Incentive Plan Awards table (page 73 of the Circular): Pursuant to the terms of the RSUs, each grant of RSUs vests entirely on the third anniversary of the date of grant without any further performance conditions.
