This notice is given by ReadCloud Limited (Company) under Section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).
The Company hereby confirms that:
- (a) the Company has issued 250,000 fully paid ordinary shares (Shares) pursuant to the completion of the acquisition of Australian Institute of Education and Training. 125,000 Shares will be subject to Disposal Restrictions until expiry of a 12-month escrow to 23 November 2019 and 125,000 Shares will be subject to Disposal Restrictions until expiry of a 24-month escrow to 23 November 2020.
- (b) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;
- (c) the Company is providing this notice under paragraph 5(e) of section 708A of the Corporations Act;
- (d) as at the date of this notice the Company, as a disclosing entity under the Corporations Act, has complied with:
- a. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and
- b. section 674 of the Corporations Act as it applies to the Company; and
- (e) as at the date of this announcement, there is no excluded information of the type referred to in Sections 708A(7) and 708A(8) of the Corporations Act.

Quotation agreement
- 1 +Quotation of our additional +securities is in ASX's absolute discretion. ASX may quote the +securities on any conditions it decides.

- The issue of the +securities to be quoted complies with the law and is not for an illegal purpose.
