Calendario delle riunioni del Consiglio di Amministrazione e dell'Assemblea per l'anno 2017 e pubblicazione delle informazioni finanziarie periodiche trimestrali

(ai sensi dell'art. 2.6.2 nr. 1 let. b del Regolamento dei mercati organizzati e gestiti da Borsa Italiana)

Milano, 27 gennaio 2017 – RCS MediaGroup comunica a seguire il calendario delle date relative agli eventi societari per il 2017:

17 marzo	Riunione del Consiglio di Amministrazione per approvazione del progetto di Bilancio d'esercizio e relativa Relazione sulla Gestione, al 31 dicembre 2016
27 aprile	Assemblea per approvazione del Bilancio d'esercizio al 31 dicembre 2016 (in unica convocazione)
9-11 maggio	Riunione del Consiglio di Amministrazione per approvazione del Resoconto Intermedio di gestione al 31 marzo 2017
1-4 agosto	Riunione del Consiglio di Amministrazione per approvazione del Bilancio Semestrale abbreviato e della Relazione Intermedia sulla Gestione relativamente al 1° Semestre 2017
7-10 novembre	Riunione del Consiglio di Amministrazione per approvazione Resoconto Intermedio di gestione al 30 settembre 2017.

Pubblicazione delle informazioni finanziarie periodiche trimestrali

Nell'ambito del nuovo quadro normativo di riferimento 1 , al fine di garantire continuità di informazioni alla comunità finanziaria, la Società ha valutato di proseguire a redigere e pubblicare, in via volontaria e fino a diversa deliberazione, un'informativa periodica trimestrale in conformità alla precedente prassi:

• l'informativa trimestrale conterrà:

• principali dati economici, patrimoniali e finanziari del Gruppo;

• profili delle attività del Gruppo;
• andamento del Gruppo e dei principali mercati di riferimento;
• fatti di rilievo del trimestre e successivi alla chiusura del trimestre;
• evoluzione prevedibile della gestione;
• integrazione su richiesta CONSOB ai sensi dell'art. 114;

• attestazione ai sensi dell'art. 154bis comma 2 TUF;

• le informazioni finanziarie trimestrali saranno pubblicate mediate comunicato stampa da diramarsi successivamente all'approvazione delle stesse da parte del Consiglio di Amministrazione, secondo le modalità di cui al comma terzo dell'art. 82-ter del Regolamento Emittenti;

• l'informativa finanziaria trimestrale sarà oggetto di approvazione da parte del Consiglio di Amministrazione in riunioni da tenersi entro 45 giorni dalla chiusura del I e III trimestre di ogni anno e sarà comunicata successivamente all'approvazione consiliare con le modalità sopra indicate;

• le relazioni finanziarie trimestrali continueranno inoltre ad essere pubblicate sul sito del Gruppo RCS.

1 Si ricorda che il D. Lgs. 25/2016, di attuazione della Direttiva 2013/50/EU, ha eliminato l'obbligo di pubblicazione del resoconto intermedio di gestione, prima previsto dal comma 5 dell'art. 154-ter del D. Lgs. 58/1998. In data 26 ottobre 2016, con delibera n. 19770, la Consob ha apportato alcune modifiche regolamentari, introducendo il nuovo articolo 82-ter, che troveranno applicazione a decorrere dal 2 gennaio 2017.

Calendar of meetings of the Board of Directors and the Shareholders' Meeting for the year 2017 and publication of quarterly interim financial information

(pursuant to Article 2.6.2 no. 1 letter b of the Rules of the markets organized and managed by the Italian Stock Exchange)

Milan, 27 January 2017 – RCS MediaGroup announces below the calendar of dates for the corporate actions for 2017:

March, 17	Meeting of the Board of Directors to approve the draft Financial Statements for the year and the attendant Management Report, as at 31 December 2016
April, 27	Shareholders' Meeting to approve the Financial Statements as at 31 December 2016 (single call)
May, 9-11	Meeting of the Board of Directors to approve the Interim Management Report as at 31 March 2017
August, 1-4	Meeting of the Board of Directors for approval of the Interim Financial Statements and the Interim Management Report relating to the 1st Half of 2017
November, 7-10	Meeting of the Board of Directors to approve the Interim Management Report as at 30 September 2017.

Publication of quarterly interim financial information

Under the new regulatory framework¹ , in order to ensure continuity of information to the financial community, the Company has decided to continue to draw up and publish, on a voluntary basis and until otherwise decided, a quarterly periodic disclosure in accordance with previous practice:

• the quarterly report will contain:

• main economic and balance sheet highlights of the Group;

• profiles of the Group's activities;
• performance of the Group and the main target markets;
• significant events of the quarter and those following as at the close of the quarter;
• outlook;
• integrations required by Consob pursuant to Article 114;

• certification pursuant to Article 154-bis subparagraph 2 of the Consolidated Finance Act;

• the quarterly financial information will be published in a press release to be issued after the approval thereof by the Board of Directors, in the manner referred to in the third subparagraph of Article 82-ter of the Issuers' Regulation;

• the quarterly financial reporting will be subject to approval by the Board of Directors in a session to be held within 45 days from the end of the first and third quarter of each year and which will be announced after the Board's approval in the manner described above;

• the quarterly financial reports will also continue to be published on the RCS Group's website.

____________________________ 1 Please note that Legislative Decree no. 25/2016, implementing Directive 2013/50/EU, has eliminated the requirement for the publication of the Interim Management Report, first envisaged by subparagraph 5 of Article 154-ter of Legislative Decree no. 58/1998. On 26 October 2016, with Resolution no. 19770, Consob has made some regulatory changes, introducing the new Article 82-ter, which will apply with effect from 2 January 2017.
