Item 8.01. Other Events.

On December 8, 2017, the Board of Directors of the Company declared a special cash dividend (the "Dividend") of $1.00 per share. The Dividend is payable on December 28, 2017 to stockholders of record as of the close of business on December 22, 2017. A copy of the Company's press release regarding the dividend is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
