Sub: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("SEBI Listing Regulations"): Intimation for Change in Key Managerial Personnel

Dear Sir/Madam,

This is with reference to our earlier communication dated August 14, 2023, wherein the Bank had intimated about the appointment of Mr. Buvanesh Tharashankar as Head-Finance and part of Senior Management of the Bank effective August 14, 2023. It was also conveyed that Mr. Buvanesh Tharashankar shall be considered for the position of Chief Financial Officer (CFO) and Key Managerial Personnel of the Bank and the said matter shall be placed before the Board and other relevant Board sub-committees for necessary approvals, pursuant to Section 203 of the Companies Act, 2013 and Rules made thereunder.

Pursuant to Regulation 30 read with Para A of Part A of Schedule III and other applicable provisions of the SEBI Listing Regulations, as amended, we hereby inform you that basis the recommendations of the Nomination and Remuneration Committee and Audit Committee of the Board, the Board at its meeting held today i.e. on September 29, 2023 approved the appointment of Mr. Buvanesh Tharashankar as Chief Financial Officer (“CFO”) and Key Managerial Personnel (“KMP”) of the Bank effective September 29, 2023.

We further draw your attention to our earlier communication dated March 6, 2023, wherein the Bank had intimated about appointment of Mr. Deepak Ruiya as Deputy CFO and KMP of the Bank, responsible for all the functions as are executed by a CFO, till such time a CFO is appointed. Consequent to the appointment of Mr. Buvanesh Tharashankar as CFO & KMP of the Bank, Mr. Deepak Ruiya shall cease to be the KMP of the Bank, however, shall continue as the Deputy CFO of the Bank.

Disclosure of information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, is enclosed as Annexure I.

The Board Meeting commenced at 2:00 p.m. and concluded at 6:50 p.m.

Further, in compliance with the Regulation 46(2) of SEBI Listing Regulations, the information is being hosted on the Bank's Website at www.rblbank.com.
