Item 8.01. Other Events

Gerald J. Pollack, Rayonier’s Senior Vice President and Chief Financial Officer has advised the Company of his intention to retire in January 2006 at age 64. Mr. Pollack is a 23-year veteran of Rayonier. In response, the Company has begun implementing a transition plan which is expected to involve a bifurcation of Mr. Pollack’s responsibilities between the current Vice President and Corporate Controller, Hans E. Vanden Noort, and a Vice President - Finance to be recruited from the real estate industry.
