POSTAL BALLOT NOTICE

NOTICE is hereby given that RattanIndia Enterprises Limited ("the Company") has on April 15, 2021 completed the dispatch of Postal Ballot Notice dated April 12, 2021, to its members under Section 110 of the Companies Act, 2013, read with Rule 20 & 22 of the Companies (Management and Administration) Rules, 2014, for the purpose of seeking the consent of members of the Company, for the businessess set out in the said notice, to be transacted by postal ballot through remote e-voting.

In compliance with MCA Circular No. 14/2020 dated April 8, 2020, Circular No. 17/2020 dated April 13, 2020, Circular No. 22/2020 dated June 15, 2020, Circular No. 33/2020 datedSentember 28, 2020 and Circular No. 39/2020 dated December 31, 2020, issued by the Ministry of Corporate Affairs ("MCA circulars") and in conformity with the applicable regulatory requirements, the said Postal Ballot Notice has been sent only through electronic mode to those Members whose e-mail addresses are registered with their depository participants or with the Company's Registrar & Share Transfer Agent (RTA), as on April 09, .2021 (cut-off date).

In accordance with the provisions of the MCA circulars, physical copies of the Notice, postal ballot form and pre-paid business reply envelopes are not being sent to the Members for this postal ballot and Members entitled can vote only through remote e-voting.

Voting rights shall be reckoned on the paid-up capital of shares registered in the name of Members as on cut-off date. A person who is not a Member of the Company as on cut-off date should treat the Notice for information nurnose only.

In case a member desires to exercise vote by using remote e-voting as stipulated under Section 108 of the Companies Act, 2013, read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is providing remote e-voting platform for the above through KFin Technologies Private Limited ("KFINTECH"). The procedure for remote e-voting are provided in the Notice and also available on the website of RTA under remote e-voting section at : https://evoting.kfintech.com.

Notice is further given that the remote e-voting will commence on Friday, 16 April, 2021 at 09:00 A.M. onwards and will continue till 5:00 P.M. on Saturday, 15 May, 2021. The remote e-voting shall not be allowed beyond 5:00 P.M. on Saturday, 15 May, 2021.

The cut-off date for the purpose of remote e-voting has been fixed as Friday, April 09, 2021. A person whose name is recorded in the register of members or register of beneficial owners maintained by depositories as on cut-off date shall be entitled to avail the facility of remote e-voting.

Members holding shares in physical form or those who have not registered their e-mail ID with Company or RTA can cast their vote through remote e-voting by registering their e-mail ID and applying to the Company or Kfintech. Detailed instructions are provided in the Notice. Those shareholders whose e-mail ID is not registered, can register their e-mail ID ivouce. Those substituted by sending e-mail at evoting @kfintech.com by providing their nameregistered as per the records of the Company, address, e-mail ID, PAN, DP ID/Client ID or Folio Number and number of shares held by them

Postal Ballot Notice along with Explanatory Statement including remote e-voting instructions can be downloaded from the Company's website: www.rattanindia.com or from the stock exchanges website i.e www.bseindia.com or www.nseindia.com or may apply to the Company or RTA and obtain duplicate thereof.

The Results shall be declared along with the Scrutinizers' Report not later than 48 hours of the conclusion of the remote e-voting i.e. Monday, May 17, 2021 at the Registered Office of the Company and shall also be placed on the Company's website www.rattanindia.com and on the website of KFINTECH i.e. https://evoting.kfintech.com and shall be communicated to the Stock Exchanges where the Company's shares are listed.

.एमसीए परिपत्रों के प्रावधानों के अनुसार, भौतिक रूप में डाक मतपत्र सूचना, पोस्टल बैलेट फॉर्म और प्री-पेड व्यापार .उत्तर के लिफाफे सदस्यों को नहीं भेजे जा रहा है और हकदार सदस्य केवल दूरस्थ ई-वोटिंग के माध्यम से मतदान कर सकते है।

कट-ऑफ तिथि के अनुसार सदस्यों के नाम पर पंजीकृत शेयरों की चुकता पूंजी पर मतदान के अधिकार की गणना की जाएगी । जो सदस्य कट-ऑफ तिथि के अनुसार कंपनी का सदस्य नहीं है उन्हें केवल यह सूचना जानकारी के उद्देश्य से प्राप्त होगी ।

जो सदस्य अपना मतदान दूरस्थ ईं-वोटिंग से करना चाहता हैं, जिसका प्रावधान कंपनी अधिनियम 2013 की धारा 108 एवं कंपनी (प्रबंधन एवं प्रशासन) नियम 2014 के नियम नं. 20 और सेबी (सूची निर्धारण और प्रकटीकरण आवश्यकताएँ) विनियम, 2015 के विनियमन 44 में है, उनके लिए कंपनी द्वारा मैसर्स केफिन टेक्नोलोजिज प्राईवेट लिमिटेड (केफिन्टैक) के माध्यम से दूरस्य ई-वोटिंग की व्यवस्था प्रदान कर रही है । दूरस्य ई-वोटिंग की प्रक्रिया दूरस्थ ई-वोटिंग वेबसाईट https://evoting.karvy.com पर उपलब्ध है ।

दरस्थ ई-वोटिंग शुक्रवार, 16 अप्रैल, 2021 को सुबह 9 बजे से शुरू होगी और शनिवार, 15 मई, 2021 शाम 5 बजे तक जारी रहेगी । शनिवार, 15 मई, 2021 शाम 5 बजे के बादें दूरस्थ ई-वोटिंग द्वारा मतदान की अनुमति नही दी जाएगी ।

. दूरस्थ ई-वोटिंग के लिए कट-ऑफ तिथि शुक्रवार, अप्रैल 9, 2021 तय की गई है । जिस सदस्य का नाम सदस्यों के रजिस्टर में दर्ज किया गया है या कट-ऑफ तिथि के अनुसार डिपॉजिटरी द्वारा बनाए गए लाभार्थी के रजिस्टर में है बह दूरस्थ ई-वोटिंग की सुविधा प्राप्त करने का हकदार होगा।

.भौतिक रूप में शेयरधारक या जिन्होंने कंपनी या आरटीए के साथ अपनी ई-मेल आईडी पंजीकृत नहीं की है और वह दूरस्य ई-वोटिंग के माध्यम से अपना मतदान करना चाहता है तो वह कंपनी या कैफिनटेक में आवेदन करके गण हैं-मेल आईडी पंजीकृत कर सकते है । ई-मेल आईडी पंजीकृत करने के लिए नोटिस में विस्तृत निर्देश दिए गए हैं । जिन शेयरघारकों की ई-मेल आईडी पंजीकृत नहीं है, वह केफिनटेक या आरटीए द्वारा भेजी ई-मेल आईडी evoting@kfintech.com पर कंपनी के रेकॉर्ड पते, ई-मेल पता, पॅन, डीपी आईडी / ग्राहक आईडी या फोलियो नंबर और शेयरथारित संख्या के साथ अपना नाम पंजीकृत कर सकते है ।

जिन सदस्यों को नोटिस प्राप्त नही हुआ है, वे कंपनी की वेबसाईट www.rattanindia.com पर दूरस्थ ई-वोटिंग निर्देशों सहित व्याख्यात्मक विवरण के साथ तथा डाक मतपत्र पर्चा डाऊनलोड़ कर सकते हैं तथा कंपनी स्टॉक एक्सचेंज की वेबसाईट यानि www. bseindia.com और www.nseindia.com पर भी उपलब्ध है । या प्रतिलिपि . प्राप्त करने के लिए कंपनी या आरटीए को लिख सकते हैं।

. दूरस्थ ई-वोटिंग के समापन के 48 घंटे बाद यानि सोमवार, 17 मई, 2021 को कंपनी के पंजीकृत कार्यालय में परिणाम स्कृटिनाईज़र रिपोर्ट के साथ घोषित किए जाएंगे और कंपनी की वेबसाईट www.rattanindia.com और केफिनटेक यानि https://evoting.kfintech.com पर भी रखा जाएगा और स्टॉक एक्सचेंजों को सूचित किया जाएगा, जिसमें कंपनी के शेयर सूचीबध्द हैं।
