Sub: Amendments to Memorandum of Association of the Company

Ref: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the “SEBI LODR Regulations”).

Pursuant to the requirements of Regulation 30 read with Part A of Schedule III of SEBI Listing Regulations, we wish to inform you that the members of the Company have approved alteration of Clause V of the Memorandum of Association (‘MOA’) of the Company consequent to increase in authorised share capital of the Company from Rs. 85,00,00,000 divided into 8,20,00,000 Equity Shares of Rs 10/- each and 30,00,000 Preference shares of Rs. 10/- each to Rs 1,13,00,00,000 divided into 11,00,00,000 Equity Shares of Rs 10/- each and 30,00,000 Preference shares of Rs. 10/- each by passing of Ordinary Resolution in the Extraordinary General Meeting held on 30th May, 2026.

Brief details of alterations approved to the existing MOA, as required under Regulation 30 of the SEBI Listing Regulations, read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 (as amended from time to time), is given as Annexure I.
