Notification of Transactions of Persons Discharging Managerial Responsibilities

The Company announces that the following PDMR was granted share awards in respect of performance for the period from 1 April 2023 to 31 December 2023. This share award was assessed and determined under the prevailing incentive arrangements in respect of his services to the Company and Investec Group Plc during the period to 31 December 2023. The share awards are granted in accordance with the rules of the Rathbones Executive Share Performance Plan.

In line with CRR and MIFIDPRU remuneration obligations, this award includes an upfront and deferred element. The upfront award will vest at the same time as being granted and will include a six-month holding period. This award was made at a share price of £17.07 based on the average share price over five days preceding the grant date. The deferred awards will vest annually over five years and will include a six-month holding period post vest. These awards were made at a share price of £16.32, £15.56, £14.80, £14.05 and £13.29, based on the average share price over five days preceding the grant date and discounted to reflect the absence of dividend equivalents over the vesting period. The award is subject to malus and clawback provisions.
