Geoinformatics Exploration Inc is a Canadian company listed on the TSX Venture Exchange, and holds 22, 805,506 ordinary shares in the Company.
On 17 October 2008 Geoinformatics Exploration Inc made a private placement of 586,550,000 common shares at a price of C$0.05 per share in accordance with an approval by that Company's shareholders (excluding the substantial holders) at a special meeting of shareholders on 15 October 2008.
In addition, GeoInformatics Exploration Inc issued 31,977,209 shares at a deemed price of C$0.295 in respect of accrued interest on debentures.
The private placement and additional issue increased the voting power of the substantial holders in Geoinformatics Exploration inc from 17.37% to 84.9%.
After the private placement and additional issue, the substantial holders held common shares in Geoinformatics Exploration Inc as follows:

Geologic Resource Partners LLC and the above funds made the above acquisitions of common shares in Geoinformatics Exploration Inc by private placement and additional issue for the purpose of acquiring control of Geoinformatics Exploration inc and are therefore associates in relation to Geoinformatics Exploration Inc.
