Pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015, we hereby inform you that the Board of Directors of the Company at its meeting held today i.e. 30 [th ] June, 2020, has approved the Resignation and Appointment of following Directors:-

• 1) Shri. Jagdish Chetandas Bhatia, Promoter and Managing Director of the Company has resigned honoring his obligation pursuant to Share Purchase Agreement executed between Promoters and Acquirers dated 19["' ] August, 2019 from the position of Director and Managing Director and the Board of Directors has accepted his resignation from the office of Managing Director effective at the end of 30 days from conclusion of this Board Meeting.

• 2) Shri. Abhishek Vipinchandra Gami is appointed as a Managing Director of the Company for 5 years effective from 1" July, 2020.

• 3) Smt. Shruti Abhishek Gami is appointed as Additional Director in the capacity of Non-Executive Non Independent Woman Director effective from 1 [st ] July, 2020.

• 4) Shri. Kishore Dindayal Sharma is appointed as Additional Director in the capacity of Non Executive Independent Director for 2 years effective from 1 [st ] July, 2020 subject to approval in Annual General Meeting.

Further, it is hereby affirmed that Shri. Abhishek Vipinchandra Gami, Smt. Shruti Abhishek Gami and Shri. Kishore Dindayal Sharma is not debarred from holding the office of Director by virtue of any SEBI order or any other such Authority.
