Additional Information:

We estimate that the net proceeds from this offering (after deducting discounts to the underwriters and estimated expenses of the offering) will be approximately $490.8 million.

We intend to use a portion of such net proceeds to fund our pending tender offers and consent solicitations for any and all of our outstanding $150.0 million aggregate principal amount of 6 3 / 8 % Senior Subordinated Notes due 2015 (the “2015 Notes”) and our outstanding $250.0 million aggregate principal amount of 7 1 / 2 % Senior Subordinated Notes due 2016 (the “2016 Notes) (including accrued and unpaid interest estimated to be approximately $2.4 million as of May 25, 2011, the consent fees and related fees and expenses, assuming that all such 2015 Notes and 2016 Notes are tendered and purchased promptly after the consent expiration date). We intend to redeem any 2015 Notes or 2016 Notes not tendered and purchased in the tender offers and to use the remaining net proceeds for general corporate purposes.

At the quarter ended March 31, 2011, on an as further adjusted basis to give effect to this offering and the application of the estimated net proceeds in the manner described above, we had a total capitalization of $3,958 million, total long-term debt of $1,787 million, including $500 million of indebtedness associated with our new senior subordinated notes and cash and cash equivalents of $442.0 million. This information supplements the information contained in the capitalization table under the column heading “As further adjusted” on page S-27 of the preliminary prospectus supplement.
