In compliance with the MCA Circulars, the Company has completed the dispatch of the Postal Ballot Notice along with Explanatory Statement on Tuesday, December 3, 2024, through electronic form to those Members whose e-mail addresses are registered with the Company / RTA / Depositories / Depository Participants as on Friday, November 29, 2024 (“Cut-Off Date”).
In compliance with Regulation 44 of the SEBI Listing Regulations and pursuant to the provisions of Section 108 and Section 110 of the Act read with Rules, the MCA Circulars and SS-2, the Company is providing remote e-voting facility to its Members, to enable them to cast their votes electronically instead of submitting the Postal Ballot Form physically. The Company has engaged the service of KFin Technologies Limited for the purpose of providing remote e-voting facility to its Members. The voting rights of the Members shall be in proportion to their share of the paid-up equity share capital of the Company as on the Cut-Off Date. The instructionsfor remote e-votingare appendedto the Postal Ballot Notice. Members desiring to exercise their vote through the remote e-voting process are requested to carefully read the instructions indicated in the Postal Ballot Notice and record their assent (FOR) or dissent (AGAINST) by following the procedure as stated in the “Notes” section of the Postal Ballot Notice for casting of votes by remote e-voting not later than 5:00 p.m. (IST) on Friday, January 3, 2025. The remote e-voting facility will be disabled by Kfin Technologies Limited immediately thereafter. The remote e-voting period shall commence from 9:00 a.m. (IST) Thursday, December 5, 2024 and ends at 5:00 p.m. (IST) on Friday, January 3, 2025. Only those Members whose names are appearing in the Register of Members / List of Beneficial Owners as on the Cut-Off Date shall be eligible to cast their votes through Postal Ballot by remote e-voting. A person who is not a Member as on the Cut-Off Date should treat this Notice for informationpurposesonly. Pursuant to Rule 22(5) of the Rules, the Board of Directors of the Company (“Board”) has appointed M/s. D. Hanumanta Raju & Co, Practicing Company Secretaries, as the Scrutinizer (“Scrutinizer”), to conduct the Postal Ballot / remote e-voting process in a fair and transparentmanner. Upon completion of the scrutiny of the votes cast through remote e-voting in a fair and transparent manner, the Scrutinizer will submit his/her report to the Chairperson of the Company or any other person authorised by the Chairperson.
The results of postal ballot / remote e-voting shall be declared within 2 (two) working days from conclusion of the remote e-voting i.e., on or beforeTuesday, January 7, 2025. The results of the Postal Ballot / remote e-voting along with the Scrutinizer’s Report shall be displayed at the Notice Board at the Registered Office of the Company and communicated to the Stock Exchanges where the equity shares of the Company are listed. NOTICE OF COMPULSORY TRANSFER OF EQUITY SHARES TO IEPF
NOTICE is hereby given pursuant to the provisions of Section 124 (6) of the Companies Act, 2013 read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (“the Rules”) that, the Company is required to transfer by way of transmission all shares in respect of which dividend has not been paid or claimed by the shareholder for seven consecutive years or more to the Investor Education and Protection Fund Authority (IEPF). Complying with requirements set out in the Rules, individual communications are being sent to the concerned shareholders whose dividend remain unclaimed and shares are due for transfer and details of such shareholders along with number of shares, are being uploaded on the website www.ranegroup.com. Shareholders are requested to verify the details of un-encashed dividends and shares liable to be transferred to the IEPF Authority. The unpaid/unclaimed dividend for the Financial year 2017-18 (Interim) and corresponding shares are due for transfer within thirty days after March 14, 2025 .
