Rana Gruber ASA: Disclosure of change in large shareholdings and trade by primary insiders

Risøyhamn, 9th of January 2024

Leonhard Nilsen og Sønner – Eiendom AS (“LNSE”) has today 9th sold 2,000,000 shares in Rana Gruber ASA (the “Company”). Prior to the sale, LNSE owned 7,589,265 shares in the Company equalling 20.46% of the total share capital and voting rights in the Company. Following the sale, LNSE has 5,589,265 shares remaining in the Company equalling 15.1% of the total share capital and voting rights.

Frode Nilsen is the CEO of LNSE and has 100% ownership in Tuncomp AS, which owns 28,59% of the outstanding shares in LNSE.

LNSE has entered into a 180 day lock-up agreement for the remaining shares.

The consideration will be used to finance a generational transition in LNSE.

This notification is made public pursuant to section 4-2 of the Norwegian Securities Trading Act.
