RANA - Disclosure of shareholding and mandatory notification of trade

Oslo, 1 April 2022. Reference is made to the press release dated 31 March 2022 relating to the contemplated secondary placing of shares in Rana Gruber ASA (“RANA” or the "Company"), by Leonhard Nilsen & Sønner – Eiendom AS (“LNSE”).

LNSE has sold a total of 4,100,000 shares in the Company at a price of NOK 60.00 per share. After the sale, LNSE will hold a total of 7,589,265 shares representing 20.30% of the share capital in the Company.

The shares were sold through an accelerated bookbuilding process managed by Clarksons Platou Securities AS (the "Manager").

LNSE is represented on the Board of the Company by Frode Nilsen and have entered into customary lock-up agreements with the Manager for their remaining shares in the Company valid for 90 days.
