Item 8.01 Other Events

On August 8, 2016, Rambus Inc. issued a press release announcing the closing of the acquisition of assets of Snowbush IP from Semtech Corporation and certain affiliated entities for $32 million as well as additional payments based upon specific new product sales through the end of 2022. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
