Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 5, 2021, Jae Kim, Senior Vice President, General Counsel and Secretary of Rambus Inc. (the “Company”) tendered his resignation from the Company, to be effective as of February 19, 2021. In accordance with the Company’s established succession plan, the Company appointed John Shinn to the position of Senior Vice President, General Counsel and Secretary, to be effective as of February 19, 2021.
