Ref: Sanction of Scheme of Arrangement of Zero Waste Agro-Organics Limited with Rallis India Limited and their respective shareholders and creditors by the National Company Law Tribunal, Mumbai Bench

This is to inform you that the National Company Law Tribunal ('NCLT'), Mumbai Bench, has today i.e. 24th January, 2020, sanctioned the Scheme of Arrangement between Zero Waste Agro-Organics Limited ('Transferor Company') with Rallis India Limited ('Transferee Company') and their respective shareholders and creditors for amalgamation of the Transferor Company with and into the Transferee Company. The certified copy of the Order from the NCLT for the same is awaited.

This disclosure is made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
