Ref: Sanction of Scheme of Merger by Absorption of Metahelix Life Sciences Limited with Rallis India Limited and their respective shareholders by National Company Law Tribunal, Mumbai Bench and Bengaluru Bench

This is to inform you that the National Company Law Tribunal ('NCLT'), Mumbai Bench, vide its Order dated zo" December, 2019, sanctioned the Scheme of Merger by Absorption of Metahelix Life Sciences Limited ('Transferor Company') with Rallis India Limited ('Transferee Company') and their respective shareholders ('Scheme'). The certified copy of the Order from NCLT for the same is awaited.

Further, the NCLT Bengaluru Bench has sanctioned the Scheme vide its Order dated 111 November, 2019.

This disclosure is made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
