Sub: Intimation of Revised Notice of 45" Annual General Meeting of the Company — Reg. Ref: Scrip Code: 500339 (BSE) & Scrip Code: RAIN (NSE)

With reference to the above stated subject and furtherto our letter dated May 25, 2020 in relation to 45th Annual General Meeting of the Company, we bring to your kind notice that as per the guidelines issued by the Government of India and respective State Governments to prevent the spread of Coronavirus (COVID-19) and keeping in view of safety of all the stakeholders, the Board of Directors of the Company, vide Circular Resolution dated June 26, 2020, have approved to conduct the 45™ Annual General Meeting of the Company electronically through Video Conferencing ("VC") / Other Audio Visual Means (""OAVM") on Thursday, the August 13, 2020 at 11.00 a.m, without the physical presence of the Members at a common venue, in compliance with General Circular No. 14/2020, 17/2020 and 20/2020 issued by Ministry of Corporate Affairs.

The Revised Notice of the 45" Annual General Meeting shall be sent to the stock Exchanges and shall also be uploaded on the Company's website at www.rain-industries.com as and when sameis sent to the Members of the Company through e-mail.
