RESIGNATION OF A DIRECTOR

Rome, 21 April 2020 - Rai Way S.p.A. (the "Company") informs that Ms. Anna Gatti - nonexecutive and independent director, as well as Chairman of the Remuneration and Appointments Committee, and who does not hold any stake in the Company's capital has announced today, and effective as of the same date, her resignation from the office of director of the Company, pointing out her impossibility to maintain such office in light of the taking of the office as director in another company, such taking causing her to exceed the limit of offices provided for by regulatory provisions applicable to her due to the directorship already held in a bank. It is noted that the term of office of the Board of Directors of the Company is expiring with the Shareholders' Meeting called to approve the 2019 financial statements, scheduled for 24 June 2020.

The Chairman and the Chief Executive Officer, on behalf of the entire Board of Directors, thank Ms. Gatti for the contribution made within the Remuneration and Appointments Committee as well as the entire Board of Directors.
