F1: The shares were owned by the Howard and Fran Berger Family Trust, of which the reporting person is a co-trustee. The shares were transferred to HFB Enterprises, LLC (the "LLC") for estate planning purposes. The transfer was a part-gift and part-sale and the consideration for the sale was $500,000. The reporting person, along with his wife, are the managers of the LLC and the sole member of the LLC is an irrevocable trust, the beneficiaries of which are the reporting person's children and a third individual who is a family friend.
