This is further to our communication dated May 14, 2024 w.r.t. recommendation of final dividend of Rs. 3/- per fully paid-up equity share of Rs. 2/- each for the financial year 2023-24 by the Board, subject to the approval of the members at the ensuing Annual General Meeting to be held on Wednesday, August 07, 2024.

In compliance with the Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Section 91 of the Companies Act, 2013 including rules framed thereunder, we hereby intimate the Book Closure dates for 40[th] Annual General Meeting of the Company, as given below:

The dividend would be paid on or before Thursday, September 05, 2024, subject to the approval of the shareholders at the ensuing AGM.

Cut-off date

This is further to inform you that in terms of Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management & Administration) Rules 2014, as amended, and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company will provide facility to its shareholders to cast their votes electronically through remote e-voting for transacting the items set out in the notice of AGM. The Company would be availing the services of KFin Technologies Limited for conducting remote e-voting. Further, the Company has fixed Wednesday, July 31, 2024 as the Cut-off date to determine the Shareholders (holding equity shares of the Company, in both electronic and physical form) eligible to cast their votes through remote e-voting. The remote e-voting facility shall commence on Saturday, August 03, 2024 from 09:00 A.M. (IST) and close on Tuesday, August 06, 2024 at 05:00 P.M. (IST).
