AD HOC ANNOUNCEMENT pursuant to § 15 WpHG
(German Securities Trading Act)

R. STAHL closes syndicated loan agreement

Waldenburg, 25 September 2015. R. STAHL AG closes a syndicated loan
agreement for the group's financing. The contract provides for a credit
line of EUR 80 million in cash and EUR 15 million in guarantees. The
syndicated loan's total credit volume thus amounts to EUR 95 million with
an enhancement option of EUR 25 million. The loan has a term of 5 years.

Bilateral loan agreements in the amount of EUR 45 million expire on
September 30, 2015. They are replaced by the syndicated loan agreement with
our bank partners Deutsche Bank, HSBC Trinkaus & Burkhardt,
Baden-Württembergische Bank and Commerzbank. R. STAHL benefits from the
favorable market situation to finance the group and is highly satisfied
with the progress and outcome of the negotiations. The syndicated loan
expands the company's financial basis for investments and acquisitions.
