Notification of transactions by Directors and Persons Discharging Managerial Responsibilities ("PDMRs")

The Company announces the following transactions by Directors and PDMRs in the Company's ordinary shares of £0.07 each ("Shares") which include the vesting, exercise and sale of Shares and Share Options that had been granted pursuant to:

a)   the 2017 Deferred Bonus awards made under the Old Mutual Wealth Phantom Share Reward Plan ("Phantom SRP");

b)    the 2018 and 2019 Deferred Bonus awards made under the Quilter Share Reward Plan ("Quilter SRP");

c)    the 2018 Restricted Stock Unit awards made under the Quilter Performance Share Plan ("Quilter PSP");

d)    the 2018 Long Term Incentive awards made under the Quilter PSP; and

e)    a Recruitment Award made under the Quilter SRP.
