Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 30, 2014, QuickLogic Corporation (the “Company”) appointed Edgar Auslander to QuickLogic’s board of directors. Mr. Auslander will serve as a Class III director and member of the Nominating and Corporate Governance Committee, with a term that expires on the date of QuickLogic’s Annual Meeting of Stockholders in 2014. There are no arrangements or understandings between Mr. Auslander and any other person pursuant to which Mr. Auslander was selected as a director. There are no transactions involving Mr. Auslander that would be required to be reported under Item 404(a) of Regulation S-K.
