Sub: Allotment of equity shares under Quess Stock Ownership Plan-2020 ("QSOP-2020")

We wish to inform you that the Nomination and Remuneration Committee of the Company vide circular resolution dated December 07, 2021, approved the following:

1. Exercise of Restricted Stock Units ('RSUs')and allotment of shares under the QSOP 2020:

Allotment of 98,437 equity shares of Rs. 10/- each to the RSUs holders who have exercised it under the QSOP 2020. The said equity shares shall rank pari-passu with the existing equity shares of the Company in all respect.

Consequent to the aforesaid allotment, the paid-up share capital of the Company has increased as under:
