Sub.: Pronouncement of Order by the Hon’ble National Company Law Tribunal, Bengaluru Bench sanctioning the Composite Scheme of Arrangement

In furtherance to our earlier intimations dated December 23, 2024 and January 07, 2025 and in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), this is to inform that the Hon’ble National Company Law Tribunal, Bengaluru Bench (“NCLT”) has today, March 04, 2025 pronounced the order approving and sanctioning the Composite Scheme of Arrangement between Quess Corp Limited, Digitide Solutions Limited (“Digitide”) and Bluspring Enterprises Limited (“Bluspring”) and their respective shareholders and creditors (“Scheme”).

The certified copy of the order of NCLT sanctioning the above Scheme is awaited. The Scheme shall be effective upon filing of the certified copy of the order of the NCLT with the Registrar of Companies, Bengaluru, Karnataka.

This intimation is also being uploaded on the website of the Company at www.quesscorp.com.
